Karl Brenza is founding member of the USWMC Advisory Group and was a key architect of the firm’s capital markets and investment banking consulting and advisory strategy. Mr. Brenza is a veteran investment banker with over 30 years of experience in financial advisory, capital markets, and technology-driven transactions. He currently serves as Senior Managing Director and Head of the Capital Growth Advisory Group at Maxim Group, LLC, and thereby relinquished all his official capacities with the USWMC Group.
Currently, Mr. Brenza holds no operational, professional, or fiduciary role with the USWMC Group or its affiliates. He remains strictly a Founder Emeritus, a title that honors his historical role in establishing the firm’s vision and integrity. In this capacity, he is not currently authorized to, and does not, conduct business or provide professional services or advice on the USWMC Group’s behalf.
Professional Legacy & Experience A veteran investment banker with over 30 years of experience, Mr. Brenza has completed more than 200 strategic transactions, including M&A, public and private financings, IPOs, and SPACs. His career is marked by leadership roles at several premier institutions.
In addition to his capacities with the Maxim Group, Mr. Brenza is Chairman of the Board of ScanTech AI Systems Inc. (NASDAQ: STAI), a next-generation security technology company specializing in advanced fixed-gantry CT scanners and AI-driven inspection systems for aviation, defense, and cargo logistics. He previously served as CEO, CFO, and Director of Mars Acquisition Corp, the SPAC that successfully merged with ScanTech in a de-SPAC transaction, taking the company public.
Over the course of his career, Mr. Brenza has completed more than 200 strategic advisory transactions and assignments, including in the areas of mergers, acquisitions, reverse merger, private and public financings of all types including equity, debt, convertible and equity-linked securities, private placements, IPOs, follow-on offerings, SPACs, PIPEs, and valuations/fairness opinions.

In addition to his capital markets expertise, Mr. Brenza has also held operational roles including CFO of a private operating companies, such as a metal components company and with a public technology firm, as senior executive at a venture-backed internet company, and was a systems engineer at Raytheon Co.
Mr. Brenza holds a B.S. in Electrical Engineering from the University of Pennsylvania and an MBA with honors from Columbia Business School. Mr. Brenza has also served as a guest lecturer at NYU Stern Graduate School of Business and is widely recognized for his expertise in SPAC structuring, corporate finance, and growth-stage advisory.
